Grace graduated from the Faculty of Trade and Economy of University of Finance
and Economy of Shanghai in the year of 1992. After her graduation, she worked
for Yunnan Native Production Import &. Export Corporation. Over one decade's
work in import and export business has enriched her knowledge of international
trade, and has made her a skillful and experienced legal expert.
In the year of 2002, after passed the National Bar Examination with the high
score, she took her attachment in Yunnan Liuhule Law Firm as a paralegal. In the
year of 2004, she became an independent lawyer of Yunnan Beichuan Law Firm.
She is specializing in foreign-related litigation and non-contentious business
(establishment, modification of the foreign invested companies, corporation
merger and acquisition, funding, legal documentation, legal feasibility
evaluation and attorney's opinion, etc.) , she has rich experiences of being the
legal consultant of the foreign company and the foreign invested company.
Besides her practice experiences of international trade, she has more legal
practices of mineral exploration and mining, investment and financing as well,
and undertakes the legal consultant for many companies engaged in mineral and
other industries.

年毕业于上海财经大学贸易经济系，同年进入云南省土产进出口公司，从事进出口业务工作十年。
2002
年以优异成绩通过首次国家司法考试，取得法律职业资格证后，在云南刘胡乐律师事务所实习，2004
年元月成为北川律师事务所的执业律师。
致力于涉外法律业务（外商投资企业的设立、变更，并购，融资，合同及各种法律文书的拟定，法律方案的设计等），有为多家外国投资者、外商投资企业提供项目性或常年性法律服务工作的经历；
同时，作为多家国内企业法律顾问，参加企业商务谈判，为企业提供，审阅，修改法律文件，在企业并购，尽职调查，股权变更等多方面提供法律服务；除此以外，还具有矿业勘探及开发，投融资的法律实践经验，并担任多家国内外矿业公司的法律顾问。

SUE ZHOU
Lawyer
Sue graduated from Southwest University of Finance and Economy, with a Bachelor degree
of Economic Law. She is holding a LL.M degree of Southwest University of
Political Science and Law. She was a visiting scholar of
Oberlin College of the United States in
2000 and a visiting scholar of Boston University School of Law in
U.S.
in 2005.
Sue is specializing in international business transactions and mining, providing legal
services in the areas of international investment, international trade,
international finance and taxation.
Sue can use fluent English as well as Chinese in her daily works. She is knowledgeable
about the international business treaties and customs, and Chinese domestic
civil and business laws. Based on the above, she is very skillful to participate
in business negotiations and draft legal documents.

周彧律师1996年获得律师资格，之后长期从事律师实务，有为多家外国公司、中国企业（特别是三资企业）提供常年法律顾问或项目法律顾问的经历，在外商投资领域和矿业领域具有丰富的专业知识和经验。
业务专长：涉外法律业务（如三资企业、外资公司分支机构或办事处的设立、变更及注销，股权变更和国际并购，外贸，国际投资、金融及国际税收等）；矿业融资与矿产勘查开发的法律实务。熟悉通行的国际条约、惯例及国际法。
Clark Jiang

He was graduated from the Law school of Peking
University and went to the Law Faculty of Hong Kong University to take the
courses of common law.
Clark joined Beijing Tianyuan Law Firm in 2001 and participated in providing the legal
services involving companies’ IPO, financing, international merger &
acquisition, the establishment of foreign investment enterprises, protection of
intellectual properties, labour disputes resolutions and other legal consul
services. He Joined Yunnan Beichuan Law Firm in 2004.
Clark is capable of using English in the business communication with the foreign clients, as
well as drafting legal documents.

蒋陆军 律师
1999年毕业于北京大学法学院，随后到香港大学法学院进修学习普通法。2001年进入北京市天元律师事务所，2004年进入云南北川律师事务所，提供诉讼及非诉讼法律服务。
诉讼法律服务：合同、婚姻家庭、房产纠纷、人身损害赔偿等领域。
非诉讼法律服务：尽职调查，企业境内外上市法律服务，境外公司并购境内企业法律服务，设立内外资企业服务，为企业提供企业名称、商标、著作权、专有技术、商业秘密及其他知识产权保护法律事务；常年法律顾问工作等。
